1. Eligibility

By using the App, you represent and warrant that you are at least 13 years of age (or the applicable age of digital consent in your jurisdiction) and have the legal capacity to enter into these Terms. If you are under 18, you represent that you have your parent or guardian's permission to use the App.

2. License Grant

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial purposes. This license does not allow you to:

• Modify, copy, or create derivative works based on the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, lend, sell, or sublicense the App
• Remove, alter, or obscure any proprietary notices

4. Third-Party Services

The App integrates with and relies upon third-party services to provide its functionality, including services for authentication, data storage, AI processing, speech recognition, location services, push notifications, purchase management, analytics, and app distribution.

Each third-party service operates under its own terms of service and privacy policy. We are not responsible for the availability, accuracy, or practices of these third-party services. By using the App, you acknowledge that your data may be processed by these services in accordance with their respective policies.

You retain ownership of any images, voice recordings, and content you upload to the App. By uploading content, you grant us a limited, non-exclusive license to process, analyze, and display such content solely for the purpose of providing the App's services to you.

When you create or join a shared calendar, events and content you add may be visible to other members of that calendar. By adding content to a shared calendar, you grant other members permission to view and (depending on their role) interact with that content.

You represent and warrant that you have all necessary rights to upload and share any content, including content imported from .ics files, and that such content does not infringe upon the rights of any third party.

7. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be available at all times or operate without interruption
• The App will be free from errors, bugs, or security vulnerabilities
• Information extracted by AI will be accurate or complete
• The App will meet your specific requirements or expectations

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOSHUA GREEN, SNAPD, OR ANY OF ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the App
• Any conduct or content of any third party on the App
• Inaccurate, incomplete, or erroneous AI-extracted information
• Missed appointments, scheduling conflicts, or related consequences
• Unauthorized access, use, or alteration of your content
• Any interruption or cessation of the App's services

In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability for certain damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the claim, or £50 (fifty pounds), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Joshua Green, Snapd, and its affiliates, officers, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of and access to the App
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights
• Any content you submit, post, or share through the App
• Any claim that your content caused damage to a third party

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at hello@snap-d.app. We will attempt to resolve the dispute through good-faith negotiation.

11. Termination

We may terminate or suspend your access to the App at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the App will immediately terminate
• You must cease all use of the App
• We may delete your account and associated data
• Provisions of these Terms that should survive termination will remain in effect

12. Our Reserved Rights

We reserve the right, in our sole and absolute discretion, to:

• Modify, suspend, or discontinue the App or any feature at any time without prior notice
• Refuse service, terminate accounts, or remove content for any reason
• Establish, modify, or enforce limits on usage, storage, or features
• Take any action we deem necessary to protect the App, our users, or third parties
• Make final decisions on any matter not expressly addressed in these Terms

We shall not be liable to you or any third party for exercising these rights.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent. If modification is not possible, the provision will be severed from these Terms, and the remaining provisions will continue in full force and effect.

14. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using particular features of the App, constitute the entire agreement between you and us regarding your use of the App and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes, we may also provide additional notice through the App or via email. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

17. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data. By using the App, you agree to the collection and use of information as described in our Privacy Policy, which is incorporated into these Terms by reference.
